Release of Liability, Waiver of Claims, and Assumption of Risks

 

BY SIGNING THIS DOCUMENT, YOU WILL WAIVE CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE OR CLAIM COMPENSATION PLEASE READ CAREFULLY!

 

In consideration of Twenty Four Seven Exotics Inc., a corporation incorporated in British Columbia ("the Company") permitting the individual named below ("I" or "me") to participate in the scavenger hunt contest (the “Contest”), and for other good and valuable consideration, I agree to all the terms and conditions set forth in this agreement (this "Agreement").

 

CONTEST ACKNOWLEDGMENTS

1. I acknowledge that the Contest begins on "July 12th, 2024 at 6:00pm PDT" and ends when the winning entry has been verified.

2. I acknowledge that I am not required to purchase any product or service to participate in the Contest.

3. I acknowledge that the winner of the Contest will find and receive one (1) $10,000.00 CAD prize (the “Prize”) in the condition at the time of finding.

4. Upon finding the Prize, I acknowledge that I must contact the Company via "EMAIL/MAIL" to notify them that the Prize has been claimed.

5. I acknowledge that the Contest is itself a game of skill and there will be no skill testing question upon finding and receiving the Prize.

6. I acknowledge that the Contest is only open to citizens of Canada, excluding residents of Quebec. By signing this Agreement, I represent that I am a citizen of Canada and not a resident of Quebec.

7. I acknowledge that the Contest is only open to people who have reached the age of majority in their respective jurisdictions. By signing this Agreement, I represent that I have reached the age of majority in my jurisdiction.

8. I acknowledge that I am participating in this Contest with my free and informed consent and that I may withdraw my consent and stop participating in this Contest at any time without any penalty. However, if I chose to withdraw from the Contest, I will have no claim to recover any time, money, or efforts expended in pursuit of the Contest.

9. I acknowledge that the Contest will never direct me to violate any law of the jurisdiction I am in.

 

ASSUMPTION OF RISKS

10. I am aware and understand that the Contest involves many risks, dangers, and hazards, including but not limited to the risk of serious injury, death, or property damage. I acknowledge that I am voluntarily participating in the Contest. I freely accept and fully assume any and all of the risks, dangers, and hazards involved and the possibility of injury, death, or property damage, whether caused by the negligence of the company or otherwise.

11. I agree to not break any laws, rules, or regulations in the relevant jurisdiction in which I am located. Specifically, I will not trespass on private property nor will I enter public property outside the hours of operation relevant to that property.

12. I hereby expressly waive and release any and all claims which I have or may in the future have against the Company, its affiliates, and their respective directors, officers, employees, agents, representatives, shareholders, successors, and assigns (collectively, "Releasees"), on account of injury, death, or property damage arising out of or attributable to my participation in the Contest, due to any cause whatsoever, including without limitation the negligence of the Company or any other Releasee, breach of contract, or breach of any statutory or other duty of care owing under occupiers liability legislation or otherwise. I covenant not to make or bring any such claim against the Company or any other Releasee, and forever release and discharge the Company and all other Releasees from liability under such claims.

13. I shall defend, indemnify and hold harmless the company and the Releasees against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable legal fees, in connection with any third-party claim, suit, action, or proceeding arising out of or resulting from the Contest.

14. This Agreement constitutes the entire agreement of the Company and me with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

15. If any term or provision of this Agreement is held to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.

16. This Agreement is binding on and shall enure to the benefit of me and my heirs and next-of-kin, and the Company and its successors and assigns.

17. This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any claim or cause of action arising under this Agreement may be brought only in the courts of the Province of British Columbia, and I hereby consent to the exclusive jurisdiction of such courts.

18. I acknowledge that I have read and understood all of the terms of this agreement and that I am voluntarily waiving substantial legal rights (on my behalf and on behalf of my heirs, executors, administrators, and next-of-kin), including the right to sue the Company and the Releasees.

19. Any provision of this Agreement which is prohibited or unenforceable in any jurisdiction shall be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

20. Words importing the singular number in this Agreement include the plural number and vice versa. Words importing one gender only include each gender. Words referring to individual include a reference to partnerships, corporations, and any other entities, legal or otherwise.

21. This Agreement and all documents required in completion of the within transaction may be executed in several counterparts each of which when so executed shall be deemed to be an original, and such counterparts shall constitute one and the same instrument and notwithstanding the date of execution shall be deemed to bear date as of the date of this Agreement. This Agreement shall be considered properly executed and delivered by any party if executed and transmitted by .pdf, or other electronic means to the other party or parties.

22. This Agreement is effective indefinitely from the moment of signing.
